1. Acceptance of Terms
Welcome to Ongea-Tek ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the OngeaTek mobile app, web portal, cloud, and edge services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Services
- Manage paging, announcements, and media playback.
- Integrate with SIP, TCP/IP, and Q-SYS systems.
- Transmit live and recorded media between mobile devices, cloud services, and on-premise (Edge) appliances.
- We may modify or discontinue features at any time without prior notice.
3. Eligibility
- Be at least 16 years old (or the age of majority in your jurisdiction).
- Have authority to accept these Terms.
- Use the Services only for lawful, authorized purposes.
- Organizations are responsible for ensuring their users comply with these Terms.
4. Accounts and Security
- You must create an account to access most features.
- Provide accurate and up-to-date information.
- Maintain confidentiality of your login credentials.
- Notify us immediately of any unauthorized access or use.
- We may suspend or terminate accounts for violations of these Terms.
5. Acceptable Use
- Do not use the Services for unlawful or harmful purposes.
- Do not disrupt or compromise the security of the Services.
- Do not misuse communication features (paging, streaming, broadcasting).
- Do not upload content that is obscene, defamatory, or infringes on others' rights.
- Do not reverse engineer or attempt to access our source code.
- We reserve the right to monitor use and enforce compliance.
6. Content and Intellectual Property
You retain ownership of content you create or upload. By uploading, you grant us a limited, worldwide, royalty-free license to host, process, transmit, reproduce, and store content as needed to deliver the Services. You represent you hold all necessary rights. Service components, software, interfaces, trademarks, and documentation are owned by OngeaTek or its licensors. You may not reproduce, modify, or distribute any part of our Services without written permission.
7. Payment and Subscription Terms
If your organization uses paid features, fees, billing intervals, and payment methods will be detailed in a separate agreement or subscription plan. Fees are non-refundable except as required by law. We may suspend or terminate access for unpaid accounts.
8. Third-Party Services and Integrations
Our Services may connect with or depend on third-party systems such as AWS, Q-SYS Control, SIP/Asterisk servers, MQTT, WebRTC, or similar protocols. We are not responsible for the reliability, security, or policies of those third parties. Your use of third-party services is governed by their own terms.
9. Geo-Zoning and Access Controls
Some organizations may enable geo-restricted or network-restricted features (e.g., paging only from authorized locations). By using the Services, you consent to limited collection of location data or network information to enforce such restrictions. Failure to share valid data may limit or disable functionality.
10. Service Availability and Disclaimer
We aim to provide reliable service but do not guarantee uptime or uninterrupted availability. Services may be affected by maintenance, outages, or third-party issues. The Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including fitness for a particular purpose or non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, OngeaTek and its affiliates are not liable for any indirect, incidental, or consequential damages, including loss of data, revenue, or goodwill. Our total liability for any claim shall not exceed the amount paid (if any) in the twelve (12) months preceding the claim. Some jurisdictions may not allow these exclusions; in such cases, limits apply to the maximum extent allowed.
12. Termination
We may suspend or terminate your access if you violate these Terms or applicable law, your organization's contract expires, or Services are discontinued. Upon termination, cease all use of the Services and delete related materials.
13. Indemnification
You agree to indemnify and hold harmless OngeaTek, its officers, and affiliates from any claims or losses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
14. Governing Law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts located in Orange County, Florida.
15. Changes to Terms
We may modify these Terms at any time. Updates will be posted here with a new "Last Updated" date. Continued use after updates constitutes acceptance.
